Integrity Compliance Requirements

Goertek has always attached great importance to the construction of incorruptible culture, and it believes that commercial bribery behavior damages fair competition and has malicious effect on the development of society and the company.

Goertek adheres to honest operation, abides by business ethics, and has a “zero-tolerance” attitude towards corrupt behavior.

The Audit and Examination Department is the anti-commercial bribery compliance department for the entire company, which is responsible for the Company’s integrity culture construction and compliance work concerning anti-commercial bribery.

● All management staff of the Company shall sign the Integrity and Honesty Agreement, undertaking that they will not accept any benefits from partners in compliance with the principles of fairness and impartiality in the business dealings with partners, and that they will not act against the interests of the Company for any reason;

● It shall release Administrative Regulations on Staff Code of Conduct Rewards and Punishments, Goertek Business Code of Conduct of Employees and other systems, effectively communicate with employees by means of training for all the employees, signing of commitment documents and other ways and ensure that the employees comply with the provisions of the above systems.

● It shall emphasize the integrity management of the partners, and sign the Integrity and Honesty Commitment. Partners shall undertake to be transparent and abide by business ethics in the cooperation, and not to bribe Goertek’s employees, Otherwise, the bribery will be punished in line with relevant commitments, and the cooperation qualification may be cancelled in serious cases.

● It shall establish the complete complaint reporting and feedback mechanism. Internal and external personnel of the Company may make complaints and reports through email, WeChat, telephone and in other ways. The Company has strict confidentiality and protection measures for informers to ensure that the informers are not subject to attack or retaliation.

● It shall strengthen the construction of incorruptible culture, continuously improve employees’ awareness of integrity, the Audit and Examination Department organizes integrity training for key positions irregularly, and promotes integrity concepts to the employees and partners during national statutory holidays in the form of integrity posters.
